Terms & Conditions

These terms and conditions (“Terms”) govern your use of the CarbonPass.co platform (“Service”) operated by A4 Commerce FZE trading as CarbonPass.co, a company registered in the United Arab Emirates (“we”, “us”, “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Definitions
- “Service” means the CarbonPass.co web application, APIs, and related services.
- “User” means any individual or entity that creates an account and uses the Service.
- “Carbon Reduction Plan” or “CRP” means the document generated by the Service that summarises a User's carbon emissions and reduction commitments.
- “Carbon Passport” means the public-facing profile page hosted by the Service displaying a User's carbon credentials.
- “Subscription” means a paid plan (Starter, Business, or Partner) providing access to premium features.
2. Account Registration
2.1 You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.
2.2 You must be at least 18 years of age and have the authority to bind the entity you represent.
2.3 One account per individual or entity. We reserve the right to terminate duplicate accounts.
3. Service Description & Disclaimers
3.1 Indicative outputs only. All emission calculations, reduction plans, and CRP documents generated by the Service are indicative estimates based on the data you provide and publicly available emission factors (including UK Government DEFRA conversion factors). They do not constitute professional environmental consulting, auditing, or legal advice. You are solely responsible for verifying the accuracy of outputs before relying on them for any purpose, including procurement bids.
3.2 The Service uses artificial intelligence to extract data from uploaded documents and generate content. AI outputs may contain errors, omissions, or inaccuracies. You must review all AI-generated content before use.
3.3 Emission factors are updated periodically to reflect the latest DEFRA publications. We make reasonable efforts to use current factors but do not guarantee they reflect the most recent publication at all times.
3.4 PPN 006 disclaimer. While the Service generates documents structured to align with PPN 06/21 (now PPN 006) requirements, we do not guarantee that any CRP will be accepted by any specific contracting authority. Requirements may vary between procuring bodies, and it is your responsibility to ensure any submitted document meets the specific requirements of the tender or framework you are applying to. We strongly recommend having your CRP reviewed by a qualified professional before submission for high-value contracts.
4. Subscriptions & Payment
4.1 Free accounts are subject to the usage limits specified on our pricing page. We may modify free tier limits at any time with 30 days' notice.
4.2 Paid subscriptions are billed in advance on an annual or monthly basis as selected at checkout. All prices are in GBP and exclusive of VAT unless stated otherwise.
4.3 Subscriptions renew automatically. We will notify you by email at least 14 days before renewal. You may cancel at any time; cancellation takes effect at the end of the current billing period.
4.4 We do not offer refunds for partial billing periods. If you cancel mid-cycle, you retain access until the end of the paid period.
4.5 Payment processing is handled by Stripe. By subscribing, you also agree to Stripe's terms of service.
5. Your Data
5.1 You retain ownership of all data you upload to the Service (“Your Data”). By uploading, you grant us a limited licence to process, store, and display Your Data solely for the purpose of providing the Service.
5.2 You are responsible for ensuring you have the right to upload any data to the Service. You must not upload data that you do not own or have permission to use.
5.3 We will process personal data in accordance with our Privacy Policy and applicable data protection legislation, including UK GDPR.
6. Carbon Passport & Published Content
6.1 When you publish a Carbon Passport or CRP, the content becomes publicly accessible at the URL provided. You are responsible for the accuracy of published content.
6.2 You may unpublish your Carbon Passport at any time. Published CRPs may be cached by search engines; we are not responsible for third-party caching of your published content.
7. Acceptable Use
You must not:
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Use automated tools to scrape or extract data from the Service beyond normal API usage
- Deliberately upload false or misleading data to generate fraudulent carbon credentials
- Share account credentials or allow others to access your account
- Interfere with or disrupt the Service or its infrastructure
8. Service Availability
8.1 No uptime guarantee. The Service is provided on an “as available” basis. We do not guarantee uninterrupted or error-free operation. We will make reasonable efforts to maintain availability but accept no liability for downtime, data loss, or service interruptions.
8.2 We may perform scheduled maintenance with reasonable notice. Emergency maintenance may be performed without notice.
9. Intellectual Property
9.1 The Service, including its design, code, and branding, is owned by us and protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described.
9.2 CRP documents and reports generated by the Service are yours to use, distribute, and publish as you see fit. We retain no ownership of generated outputs.
10. Third-Party Services
The Service integrates with third-party providers including Stripe (payments), Clerk (authentication), Anthropic (AI), and Resend (email). Your use of these services is subject to their respective terms. We are not responsible for the availability or performance of third-party services.
11. Termination
11.1 You may close your account at any time from the Settings page or by emailing hello@carbonpass.co.
11.2 We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach.
11.3 On termination, you may request export of Your Data for 30 days. After 30 days, we may delete Your Data in accordance with our data retention policy.
12. Limitation of Liability
12.1 To the maximum extent permitted by law, our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the 12 months preceding the claim. For free plan users, our maximum liability is £0.
12.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, contracts, data, or business opportunities, whether arising from contract, tort, or otherwise.
12.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be notified by email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Wind-Down & Continuity
14.1 In the event that we cease operating the Service, we will provide at least 90 days' notice by email. During this period, you will be able to export all of Your Data. We will make reasonable efforts to keep published Carbon Passports accessible for a further 12 months or provide redirects to an alternative location.
15. Governing Law & Disputes
15.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
15.2 Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
